Changes to Kering’s Board of Directors

At its meeting on March 4, 2022, the Kering Board of Directors, in coordination with the Nominating and Governance Committee, decided on several changes.

 

Sophie L’Hélias is resigning as an Independent Director due to her recent appointment as Chairman of the Board of Directors of another group. She had held this position since April 29, 2016 and was appointed Lead Independent Director in February 2019. She was also a member of the Compensation Committee, which she chaired from 2016 to 2020, and a member of the Audit Committee, the Nominating and Governance Committee and the Sustainability Committee.

 

A member of Kering’s Board of Directors since May 2010, Yseulys Costes did not wish to submit her term of office for renewal at the next Annual General Meeting, due to the loss of her status as an independent director. She is currently Chairwoman of the Compensation Committee and a member of the Audit Committee and the Appointments and Governance Committee.

 

On the appointments side, Véronique Weill, Yonca Dervisoglu and Serge Weinberg will soon be submitted to the vote of shareholders at the Annual General Meeting to be held on April 28, 2022. Véronique Weill is Chairman of the Board of Directors of CNP Assurances ed-italia.com. She would bring to Kering’s Board of Directors her experience in corporate governance. Yonca Dervisoglu is Google‘s Vice President of Marketing for the Europe/Middle East/Africa region and is known for her expertise in new technologies, digital and marketing at the international level rankhaya.com. Finally, Serge Weinberg is Chairman of the Board of Sanofi. His extensive management experience as well as his expertise in finance and corporate governance would be greatly appreciated within the Kering group.

 

Finally, Daniela Riccardi, a Kering director since May 2014 and a member of the Sustainable Development Committee, will be up for reappointment at the next Annual General Meeting. Kering CEO François-Henri Pinault commented on the involvement of the various members : “On my own behalf and on behalf of the Board of Directors, I sincerely thank Yseulys Costes for her involvement and decisive role on the Board over the past twelve years (…) I would like to congratulate Sophie L’Hélias on her new position and thank her warmly for her contribution to the work of the Board, particularly in her capacity as Lead Independent Director, whose appointment was welcomed by all stakeholders. Finally, I am pleased to submit to the vote of the next General Meeting the appointments of Véronique Weill, Yonca Dervisoglu and Serge Weinberg, as well as the renewal of the term of office of Daniela Riccardi. Their respective knowledge and skills, as well as their backgrounds, will make a valuable contribution to the discussions of the Board of Directors, and I look forward to their commitment.”

 

At the end of the Annual General Meeting, which will take place in a little less than two months, and if the resolutions are approved by the shareholders, Kering’s Board of Directors will be composed of 14 members, including 6 women and 6 different nationalities.
